Terms of Engagement

Introduction
This document outlines the terms and conditions under which The Tax Shop Polokwane West (Pty) Ltd ("the Firm") provides accounting, tax, and related services to our clients ("the Client"). By engaging our services, the Client agrees to these terms.

1. Scope of Services
The Firm will provide accounting, tax, payroll, business advisory, and other related professional services as requested by the Client. Specific services will be outlined in individual engagement letters.

2. Responsibilities of the Firm

• Deliver services with professional care and competence.
• Maintain confidentiality of all client information.
• Provide regular updates on the progress of work.

3. Client Responsibilities

• Provide accurate, complete, and timely information and documents required for the Firm to perform its services.
• Inform the Firm of any changes to the Client's circumstances that may affect the services.
• Ensure timely payment of invoices as per agreed terms.

4. Fees and Payment Terms

• Fees for services will be detailed in the engagement letter and may be based on hourly rates or fixed fees.
• Invoices are payable immediately after the presentation of the invoice.
• Interest may be charged on overdue accounts at a rate of 9% per annum.

5. Confidentiality
The Firm will take all reasonable steps to maintain the confidentiality of the Client’s information, except where disclosure is required by law.

6. Duration and Termination

• This engagement will commence on the date of acceptance and continue until terminated by either party.
• Either party may terminate this engagement with 30 days' written notice.
• The Firm may terminate the engagement immediately if the Client fails to meet their obligations.

7. Liability and Indemnity

• The Firm’s liability for any claims arising from this engagement will be limited to the fees paid for the services.
• The Client agrees to indemnify the Firm against any claims arising from the Client's breach of these terms.

8. Dispute Resolution
Any disputes arising from this engagement will be resolved through mediation. The managing director of The Tax Shop Polokwane West (Pty) Ltd will act as the mediator.

9. Governing Law
This agreement will be governed by and construed in accordance with the laws of the Republic of South Africa.
